1. INTRODUCTION
These Terms & Conditions (“Terms”) govern your access to and use of all services, programs, websites, courses, digital products, coaching, workshops, and materials offered by Saru Gupta and The Whole Self Method (SG/TSWM)(collectively, the “Service Provider”). These Terms apply to both websites: www.sarugupta.com and www.thewholeselfmethod.com.
By accessing any SG/TSWM service or website, you agree to be legally bound by these Terms. If you do not agree, discontinue use immediately.
2. ABOUT THE SERVICES
SG/TSWM provides access to coaching programs, online workshops, digital courses, community groups, and personal development resources (“Products” and “Services”).
SG/TSWM reserves the right to update or modify these Terms at any time. Continued use constitutes acceptance.
3. PURCHASES & PAYMENTS
- You agree to pay the listed purchase price for all selected Products.
- Payments are processed via third‑party payment providers; you must comply with their terms.
- Failed or late payments may incur daily interest (5% per annum) and recovery costs.
- Payment plan obligations remain even if you discontinue program participation.
4. DELIVERY OF DIGITAL PRODUCTS & LICENSE
All digital products are delivered via designated portals (e.g., Kajabi, wordpress).
You receive a non-exclusive, non-transferable, non-sublicensable, revocable, personal-use license only.
License sharing is strictly prohibited, including:
- Sharing login details
- Sharing PDFs, worksheets, audio/video files, call recordings
- Allowing others to access your purchased content in any form
Access duration is as stated at purchase (default: 6 months).
5. REFUNDS
Unless otherwise stated in writing, all purchases are non-refundable.
6. COACHING PROGRAMS
- Delivered online via Zoom or approved platforms.
- Results are not guaranteed; outcomes depend on your participation.
- Australian Consumer Law guarantees apply where relevant.
- Conditional refunds, if offered, must follow the exact stated conditions.
7. CLIENT RESPONSIBILITIES & CONFIDENTIALITY
You are responsible for your own mental, emotional, physical, business, and personal decisions. SG/TSWM is not liable for outcomes or decisions made based on coaching or course materials.
Recording coaching calls or workshops without written permission is strictly forbidden.
8. INTELLECTUAL PROPERTY & ANTI-PIRACY
All content – including videos, audio files, worksheets, frameworks, proprietary methods, tools, coaching materials, live call recordings, written content – is the exclusive property of SG/TSWM.
Protected by:
- Australian Copyright Act 1968 (Cth)
- UAE Federal Law No. 38 of 2021
- Indian Copyright Act 1957
- Berne Convention
- English Common Law principles
STRICTLY PROHIBITED:
You must NOT:
- Copy, reproduce, distribute, publish, or transmit SG/TSWM content
- Share logins or allow access to others
- Upload paid content to any platform (public, private, social media, membership groups)
- Use SG/TSWM frameworks for coaching or commercial gain
- Record, store, or distribute coaching or community calls
- Attempt to circumvent content protections
LIQUIDATED DAMAGES
A reasonable pre‑estimate of loss per infringement:
- AUD $10,000 (Australia)
- AED 30,000 (UAE)
- INR ₹500,000 (India)
- GBP £5,000 (Common Law jurisdictions)
Each act of:
- Unauthorised distribution
- Each enabled download resulting from sharing
- Each unlawful storage or distribution of recordings
ADDITIONAL REMEDIES
SG/TSWM may pursue:
- Immediate termination without refund
- Injunctions (including urgent ex parte relief)
- Freezing orders (Mareva injunctions)
- Seizure/destruction of infringing materials
- Full indemnity legal costs
- Civil & criminal action (UAE & India allow criminal penalties)
No ownership of intellectual property is transferred to you.
9. PRIVACY
Personal data is managed according to the SG/TSWM Privacy Policy and applicable data protection laws.
10. USER‑GENERATED CONTENT
By submitting testimonials, comments, or content, you grant SG/TSWM a perpetual, royalty-free license to use such content for marketing or business purposes.
11. MAILING LIST
By registering or purchasing, you consent to receiving email communications. You may unsubscribe at any time.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, SG/TSWM is not liable for:
- Loss of profits
- Business, emotional, or psychological outcomes
- Indirect or consequential damages
- Platform interruptions or access errors
Total liability is capped at the purchase price paid.
13. INDEMNITY
You agree to indemnify SG/TSWM from all claims, losses, or damages resulting from:
- Misuse of content
- Breach of Terms
- Unauthorised sharing or piracy
14. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of Victoria, Australia, unless otherwise required for international copyright enforcement.
SG/TSWM may pursue IP enforcement in Australia, USA, UAE, or India depending on location of infringement.
15. SEVERABILITY
If any part of these Terms is unenforceable, the rest remains valid.
16. INDEPENDENT LEGAL ADVICE
You acknowledge you have had the opportunity to seek independent legal advice.
COMPREHENSIVE DISCLAIMER
Applies to all SG/TSWM services, programs, workshops, digital content, and coaching.
Not Professional Advice
SG/TSWM does not provide:
- Medical advice
- Psychological treatment or diagnosis
- Legal advice
- Financial or investment advice
- Crisis support
You must seek appropriate professionals for such matters.
Personal Responsibility
You are responsible for your decisions and outcomes.
SG/TSWM makes no guarantees of results, transformation, or success.
No Warranties
All content is provided “as is”.
Liability Limitations
As stated above under Section 12.
CLIENT AGREEMENT (GENERAL)
Client Responsibilities
- Participate fully and respectfully
- Complete exercises
- Attend sessions punctually
- Disclose relevant mental health or medical conditions
Coach Responsibilities
SG/TSWM:
- Provides ethical, supportive coaching
- Maintains confidentiality unless legally required
- May terminate services for unsafe or abusive behaviour
Payments & Refunds
Follow the Terms stated above.
Termination
SG/TSWM may terminate the agreement if you:
- Breach IP
- Breach confidentiality
- Engage in abusive behaviour
- Fail to meet payment obligations
COACHING CONTRACT
Coaching Relationship
Coaching is not therapy or counselling.
It is a professional partnership intended to support personal growth.
Session Structure
- Delivered via Zoom or in person.
- You must ensure a private environment
- Missed sessions without 24‑hour notice may be forfeited
Intellectual Property
All worksheets, prompts, tools, and recordings belong to SG/TSWM. You may not distribute or teach the frameworks without written consent.
Behavioural Expectations
Respectful conduct is mandatory. Abuse results in immediate termination without refund.
Recording Policy
- You may not record sessions
- SG/TSWM may record certain group calls; access is restricted to participants
Legal Notes
This contract is enforceable under:
- Australian Contract Law
- UAE Civil Transactions Law
- Indian Contract Act 1872
- English Common Law principles
Dispute Resolution
- Parties attempt informal resolution first
- If unresolved, mediation may occur
- SG/TSWM selects jurisdiction for IP-related matters
Consent
Use of SG/TSWM Services constitutes acceptance of this Contract.
